Uber Technologies Inc. (hereinafter referred to as Uber) and German company Delivery Hero SE signed a share purchase agreement. Uber and Uber Portier B.V. would purchase all the shares of Foodpanda Taiwan Co., Ltd. (hereinafter referred to as Foodpanda Taiwan) and Delivery Hero Stores APAC Holding Pte. Ltd. (hereinafter referred to as DH Stores), both subsidiaries of Delivery Hero SE. The condition complied with the merger patterns described in Subparagraphs 2 and 5, Paragraph 1, Article 10 of the Fair Trade Act. Both UberEats operated by Uber and foodpanda run by Foodpanda Taiwan were food delivery platforms connecting consumers, stores (including restaurants and shops) and deliverers. Since foodpanda and UberEats were the two top platforms in the domestic food delivery service market and the merger concerned the interests of consumers, stores and deliverers, the impact would be wide and deep. Therefore, the case attracted a lot of attention.
To cautiously evaluate the proposed merger and fully understand the opinions of different sectors, the FTC held several public hearings during the review process to gather opinions from scholars, specialists, consumer protection groups, restaurants and stores and the hypothetical monopoly test, critical loss analysis, and other economic analysis methods were performed using the results. At the same time, opinions of the general public were solicited and other food delivery platforms, potential competitors and concerned authorities were asked to provide information and express their viewpoints. The merging parties were also invited to give their statements at the FTC.
